Robert P. Whalen Jr.

Robert Whalen is a partner in the firm’s Technology Companies practice. He focuses his practice on mergers and acquisitions and corporate finance transactions, as well as securities law compliance, corporate governance and strategic advice for public and private companies. He joined Goodwin in 1989 and has been a partner since 1995.

Mr. Whalen has worked with companies in a wide array of industries, including clean technology, consulting services, software, life sciences, alternative energy, consumer products, higher education, research institutions, manufacturing, retail, beverage distribution, marine services, construction services, and telecommunications.

Mr. Whalen leads multi-disciplinary deal teams in large-cap and middle-market domestic and cross-border transactions. He regularly advises public company boards, special committees and executive management regarding fiduciary duties, corporate governance best practices and M&A strategies, structures and techniques. He has extensive experience representing public and private companies and private equity sponsors in buy-side and sell-side mergers, acquisitions, buyouts, investments and leveraged recapitalizations, as well as complex restructurings.

Mr. Whalen has substantial experience in capital markets transactions, including private placements, PIPES, underwritten public offerings and 144A and shelf offerings of a range of equity and debt securities. Mr. Whalen is lead corporate and securities counsel for publicly traded companies in a variety of industries, advising them in all aspects of disclosure, corporate governance, corporate finance, and securities law compliance.

Mr. Whalen is a member of the Boston, Massachusetts, New York State and American Bar Associations.

Mr. Whalen has been recognized as a "Massachusetts Super Lawyer" by Law & Politics and Boston magazine.

In 2016, Mr. Whalen was Lexology’s Client Choice Awards exclusive winner of the M&A category for Massachusetts.

He is also a 2016 Corporate LiveWire Global Award winner for M&A within the Technology Sector.

While in law school, he was a Case and Note Editor of the American Journal of Law and Medicine.
