Jim Matarese is a partner in the firm's Business Law Department and a member of its M&A/Corporate Governance practice. He represents public and private companies in mergers and acquisitions transactions. Mr. Matarese also represents investment management firms, including private equity firms, hedge fund managers and investment advisors in connection with securities laws compliance and investment activities. He also works with businesses in a variety of industries, including life sciences, technology, financial services, traditional industry and business services, and with investment banking firms in connection with mergers and acquisitions engagements. Mr. Matarese is chair of Goodwin Procter's Section 16 Committee and is a member of the firm's Opinions Committee.

Experience

Mr. Matarese's work on transactional matters includes public and private mergers, leveraged buyout transactions, including going private transactions, tender offers and asset acquisitions, and dispositions.

In addition to his representation in connection with transactional work, Mr. Matarese advises public companies and institutional and other investors concerning securities laws and corporate governance matters, including Sarbanes-Oxley, fiduciary duties, defensive takeover protections and strategies, 1934 Act compliance and disclosure matters, shareholder proposals and proxy contests, and insider trading and Rule 10b5-1 matters.

Professional Activities

Mr. Matarese frequently lectures in the fields of corporate governance and mergers and acquisitions at MIT's Sloan School of Management. He also has spoken at various legal education seminars on topics in his areas of practice.
