The Complex Litigation & Dispute Resolution secured a victory for Qualtrics in its negotiations of a $12.5 billion take private deal with Silver Lake. Qualtrics had a controlling stockholder, SAP, and the issues in the case focused on whether SAP was a conflicted controller such that the transaction should be reviewed under the most stringent standard in Delaware. The Court found there was no conflict and Qualtrics did not favor one bidder, Silver Lake, over another, Thoma Bravo. The Court concluded that Qualtrics used a reasonable process to negotiate and approve the merger.
