Jon Shapiro is a partner in the firm’s Complex Litigation & Dispute Resolution practice. His practice is focused on securities litigation, government enforcement actions and commercial litigation. Jon has expertise in a wide range of securities matters, including class actions, securities fraud and M&A litigation. He has litigated class actions, challenges to corporate transactions and governance, and other matters regarding allegations of fraud and breach of fiduciary duty, including jury and bench trials. Jon regularly defends and conducts internal and regulatory investigations on behalf of clients facing actions by the SEC, DOJ, FINRA and other entities.

Experience

Jon’s clients include public and financial services companies, officers and directors, and investment bankers. His representative experience includes multiple jury and bench trial wins and:

  • Defended technology, life sciences and financial services companies against more than four dozen investor class and derivative actions alleging federal securities fraud, improper accounting, director and officer malfeasance and insider trading*
  • Litigated wide array of business practices and consumer class actions (including those challenging product disclosure, advertising and labeling) and commercial and contractual disputes*
  • Represented issuers and registrants in many parallel SEC, FINRA and United States Attorney investigations in California, New York, Washington, Massachusetts, Arizona, Colorado, New Hampshire, New Mexico, Oregon, Washington, and Washington, DC*
  • Conducted independent investigations for boards of directors of public issuers and private funds and sponsors, including financial regulatory, accounting, and corrupt practices investigations in Asia, Europe, and Latin America*
  • Represented investment advisers, insurers, and broker dealers in class actions and regulatory proceedings involving the marketing, distribution and performance of mutual funds, annuities, and traditional and variable insurance*
  • Defended securities class actions alleging biased research and market manipulation by investment bankers*
  • Defended non-disclosure, fiduciary duty and mismanagement claims brought directly and derivatively by minority investors in close corporations, partnership and limited liability companies*
  • Defended officers and directors of publicity traded bank in control contest and against disclosure claims based on filings with federal banking regulators and the SEC*

Professional Experience

Prior to joining Goodwin, Jon served as the California Litigation Department chair for Baker Botts LLP. Jon began his legal career at WilmerHale LLP after completing a legal clerkship for Honorable Joseph A. Diclerico, Jr., Chief Judge of the U.S. District Court for the District of New Hampshire following law school.
