Jim Mattus is a partner in and co-chair of the firm’s ERISA & Executive Compensation practice. His practice focuses on various executive compensation and ERISA matters. Jim joined the firm in 2008.
Jim advises both public and private companies in structuring, implementing and administering equity-based and incentive compensation plans and programs, including providing advice with respect to tax and securities law concerns that arise in connection with such plans and arrangements. Jim regularly advises companies in connection with the executive compensation and employee benefits aspects of mergers, acquisitions and other corporate transactions, as well as day-to-day executive compensation and equity matters. Jim has extensive experience with respect to golden parachute payment issues arising under Code Section 280G and deferred compensation issues arising under Code Section 409A.
Jim also advises private investment funds regarding the ERISA considerations related to the establishment and operation of venture capital operating companies (VCOCs) and real estate operating companies (REOCs).
