David Wagner is a partner in the firm’s Private Investment Funds practice and Real Estate Industry group. His practice focuses on the organization, structuring and ongoing management of domestic and international private equity investment funds, joint ventures, separate accounts, co-investments, secondary offerings and other structures that focus on a wide variety of asset classes, including real estate, infrastructure, buyout, growth and venture. He also advises on operational, compensation and regulatory matters, including internal GP arrangements, credit facilities, Securities Act, Investment Company Act, Advisers Act, and ERISA.
He also has experience assisting in the purchase, sale and financing of real estate and real estate-related assets.

Prior to rejoining Goodwin, Mr. Wagner was counsel in Simpson Thacher’s Investment Funds practice. He began his legal career at Goodwin, first as a summer associate and later an associate and counsel.
While in law school, Mr. Wagner was a member of the Journal of Law and Policy.
