Rachel Totten

Rachel Totten is an associate in Goodwin’s Business Law department and a member of its Technology group. She focuses her practice on mergers and acquisitions, private equity investments and other general corporate matters across a broad range of industries.

Rachel represents private equity sponsors, strategic buyers and search fund clients in structuring, negotiating and documenting a wide array of transactions, including public and private mergers, acquisitions, dispositions, carve-outs of business divisions and asset and stock purchases. She also represents clients throughout the entire corporate life cycle, including pre-incorporation planning, corporate restructuring, general corporate matters, venture capital financings and successful public and private exits.

Prior to joining Goodwin in 2021, Rachel was an associate at Winston & Strawn LLP.
