Matthew Giannascoli

Matthew Giannascoli is an associate in the firm’s Business Law department and a member of its Private Equity group.

Matt’s practice is devoted primarily to mergers and acquisitions, venture capital and growth equity transactions, with an emphasis on representing private equity sponsors. He also represents private equity funds, venture capital funds and growth equity funds in minority investments, venture financings, and other capital-raising transactions.

Matt has experience working with clients in many industries including: technology and software, manufacturing, food and beverage, health care information technology, life sciences, energy, and financial services.

• Frazier Healthcare Partners and affiliates in connection with:
  • The sale of its portfolio company, Caravel Autism Health to GTCR
  • The platform acquisition of BioMatrix, a leading national provider of home-based infusion services
  • The platform acquisition of Vatica Health, a healthcare technology company focused on risk adjustment and value-based reimbursement
  • The sale of its portfolio company, Parata Systems, LLC, to Becton Dickinson at an enterprise value of $1.525 billion
  • The acquisition, via its portfolio company, AirLife (f/k/a SunMed), of Vyaire Medical’s respiratory and anesthesia consumables business
  • The acquisition, via its portfolio company, AirLife (f/k/a SunMed), of Avanos Medical’s respiratory health business
  • The acquisition, via its portfolio company, Elevate Patient Solutions (f/k/a MedData), of Revenue Masters, LLC, a cloud-based SaaS company
• Medical Properties Trust in connection with:
  • The acquisition of inpatient behavioral health hospital facilities and an interest in the operations of Springstone, LLC from Welsh, Carson, Anderson & Stowe for $950 million
  • The sale of a loan of approximately $190 million in connection with the sale of a majority interest in Springstone Health Opco, LLC
• Great Hill Partners in connection with:
  • The sale of its portfolio company, MineralTree, to Global Payments Inc. at an enterprise value of $500 million
  • The sale of its portfolio company to a private equity firm
• Advised Level Equity in its acquisition of Security Journey, a provider of cyber security training programs
• Represented Peloton Equity in a growth equity investment in Grenova, Inc., a manufacturer of green technology for the life sciences industry
• Represented a health care technology company in its sale to J.P. Morgan Chase & Co. for more than $500 million
• Advised a private equity platform company in its bolt-on acquisitions of several telecommunications construction companies
• Advised a private equity firm in its acquisition and disposition of a manufacturer of pool and spa products
• Advised a private equity firm in its acquisition of a provider of fire and life safety services for commercial, industrial and multi-family buildings
• Advised a private equity firm in the sale of one of its portfolio companies, a wallpaper, fabric and high-end furniture designer
• Represented a publicly traded food & beverage client in its acquisition of a health foods business for $700 million
• Represented a venture backed technology company in a series of preferred equity and convertible note financings
• Advised a venture backed life sciences company in a series of convertible note financings
• Represented a privately held behavioral health company in connection with an auction-based sale process to a private equity fund
• Advised a nonprofit charitable organization in connection with a nonprofit M&A transaction by an acquirer with over $350 million in assets

• Represented a private equity firm in its acquisition of a Texas-based provider of plumbing and HVAC services
