Charles-Henri de Gouvion Saint Cyr, a partner in Goodwin’s Tax practice in Paris, specializes on the tax aspects of mergers and acquisitions, with a focus on real estate, leveraged buyouts and private equity transactions. 

He also has extensive experience in tax structuring of investment funds dedicated to private equity, real estate, debt or infrastructure. Charles-Henri also advises on tax litigation. Much of his work involves advising on cross-border transactions.

Prior to joining Goodwin in 2018, Charles-Henri was a counsel at Clifford Chance in Paris. He was promoted partner in October 2019.

Charles-Henri has been teaching business law in the Economic Law Master 2 of Sciences Po Paris since 2011.

Experience

Charles-Henri’s experiences include advising, in the tax aspects:

  • a confidential investor in the €40 million financing of Pennylane, a Paris-based developer of a full-stack financial management platform used to deal with financial data.
  • Eurazeo in the sale of Peters Surgical, a leading global provider of specialty surgical sutures, to Advanced Medical Solutions Group plc.
  • LFPI:
    • in the LBO acquisition of Tikamoon group, a manufacturer and specialist in teak furniture, mahogany furniture, or bamboo furniture.
    • in the acquisition of a minority stake of Montaner Pietrini Boissons, a top-selling independent French distributor of beverages to cafés, hotels, and restaurants, alongside the founders.
  • MUTARES, a listed private equity holding company, in the acquisition of Walor International, a European leader in manufacturing forged and machined steel parts and its subsidiaries.
  • Tikehau Capital:
    • in the financing of the acquisition of Défense Conseil International, the French Ministry of Armed Forces' operator for exporting French military knowledge, training and technical assistance internationally, by the ADIT group.
    • and CVC Credit Partners in the financing of Talan’s voluntary takeover bid for all Micropole shares at a €3.12 price per share, which Talan undertook to submit under the terms of a Tender Offer Agreement concluded on May 29, 2024.
    • and CVC Credit Partners in the financing of the acquisition of the Coexya Group, a leader in the digital industry, operating as an IT multi-specialist, integrator, software publisher, and consulting firm, by Talan Group.
  • TRICares, a dedicated medical device company located in Paris, and Munich, which aims to provide safer, less invasive treatment options to improve patient outcome, in its $50 million Series D financing.
  • Vidi Capital in the acquisition of Holding GRE, parent company of Nora Imagerie group, a leading radiology group on the Seine Estuary, located in Le Havre, Lisieux, Deauville and Honfleur.
  • Vulcain Engineering, a French leader in engineering consultancy specialized in energy and health, and its management in its LBO acquisition by a consortium of investors comprised of Ardian, Tikehau Capital and EMZ.
