Jon M. Herzog

Jon Herzog, a partner in Goodwin's Private Equity and Technology Companies groups, focuses his practice on company and investor side merger and acquisition transactions, growth and venture capital investments, and the representation of both emerging and mature private companies.

Jon represents a variety of businesses in various industries including consumer products, software, technology, business services, and for-profit education and has worked with clients in structuring and executing minority and control investments, acquisitions and dispositions. His practice also includes representation of private equity funds, growth and venture capital investors and search fund entrepreneurs.

Jon’s recently completed transactions include representing:

• TA Associates in many transactions, and most recently in its:
  • investment in Flexera
  • investment in HelpSystems
  • acquisition of Thermacell
  • investment in Weiman
• Wayfair, Inc. in connection with general corporate matters
• The Boston Celtics in connection with their acquisition of the Maine Red Claws
• Charlesbank Capital Partners in many transactions, and most recently its:
  • acquisition of QC Supply
  • investment in Capital Vision Services
• Nonantum Capital Partners in connection with its acquisition of Roadone Intermodal Logistics

Jon is a member of the Boston, Massachusetts, and American Bar Associations.

Jon has been selected for inclusion in The Legal 500 U.S. 2022. Jon has been recognized by The Best Lawyers in America Best Lawyers for his work in Corporate Law, Leveraged Buyouts and Private Equity Law 2022-2023.
