Matt Giles is a partner in the firm’s Business Law department. He is a member of the firm’s Private Investment Funds group, Real Estate Industry group, and Capital Markets practice. Matt’s practice includes real estate and private equity fund formation, domestic and international securities offerings, partnership and limited liability company law, and mergers and acquisitions, with a focus on REITs and real estate capital markets. His corporate practice also includes securities law compliance and private company representation.
Experience
Matt's experience with fund formations includes representing numerous domestic and international, closed-end and open-end real estate, private equity, debt and hedge funds, fund of funds, joint ventures, and other investment vehicles in all aspects of their formation and ongoing operations, including preparing and negotiating investment documents, restructuring existing structures, advising on ongoing fund management and investor relations, forming parallel, feeder and co-investment vehicles, and organizing and advising fund managers with respect to compensation structures. He has represented numerous investors in negotiating their investments in private investment vehicles, has extensive experience serving as U.S. counsel for non-U.S. private investment funds, and also has extensive experience in securities offerings, including equity and debt offerings for private and publicly held companies.
Matt has represented numerous public and private companies in connection with merger and acquisition transactions, with a focus on public and private real estate companies and REITs, including liquidation transactions, “going-private” transactions, asset sales, stock sales, and corporate mergers. In addition, he represents private companies as general corporate and securities law counsel, providing advice with respect to all aspects of corporate governance, securities law compliance, and corporate/partnership law matters.
