Sam Rubin is a partner in Goodwin’s Complex Litigation & Dispute Resolution and Financial Services Litigation groups. Sam’s practice focuses on representing financial institutions and major corporations in a wide variety of securities and complex commercial disputes in federal and state courts and before arbitral panels. Sam also represents asset managers and corporations in ERISA fiduciary liability class actions, as well as real estate lenders and private equity clients in a broad range of commercial contract disputes.

- A global financial institution in an action to recover on a secured credit facility arising out of a foreign entity borrower’s defaults
- A global financial institution in defense of a series of Section 11 and Section 10(b) claims arising out of the issuance of exchange-traded-notes
- A global financial institution in defense of a litigation seeking recovery of interest payments on restrained assets
- An international technology company in multiple post-closing merger-and-acquisition disputes arising out of corporate transactions and divestitures
- The former CEO and CFO of a technology based start-up in connection with Section 10(b) and Section 11 class action litigation and related derivative suit litigation
- A publicly traded real estate management company and its Board of Directors in a wrongful termination claim asserted before the American Arbitration Association
- A global financial institution defending deferred compensation employment arbitrations pending before the American Arbitration Association and FINRA
- A private-equity portfolio company in actions in state and federal courts to enforce restrictive covenants
- A real estate lending company in American Arbitration Association arbitration proceedings arising out of various co-venturer defaults under joint venture agreement
- A life sciences company in defense of litigation commenced by investment bankers arising out of private placement investment banking fees
- A healthcare services company in defending False Claim Act and Anti-Kickback Statute qui tam litigation
- Asset managers and ERISA plan sponsors in class action litigation arising out of 401(k) plan sponsorship
- A global financial institution defending breach of contract claims concerning the residual valuation of subordinated options purchased on the sale-and-leaseback of a nuclear power facility
- A technology company in defense of a civil RICO class action alleging a conspiracy to convey a semi-conductor manufacturing facility to avoid compliance with French labor law
- A global financial institution in defense of claims arising out of the sale of the Liverpool Football Club
