A partner in Goodwin’s Financial Industry group, Crystal focuses her practice on advising financial services clients on a wide range of issues in regulatory and transactional contexts. Crystal provides practical, solution-oriented regulatory and transactional assistance to merchants, emerging companies, fintech companies, banks and other financial institutions on strategic partnerships, including structuring and negotiating private label, co-brand credit card and point-of-sale financing partnerships, asset purchases, and loan portfolio sales and acquisitions. Her regulatory experience involves advising fintechs, financial institutions and merchants on compliance with consumer and retail banking laws, including laws related to the offering and operation of consumer credit, deposit, payments and other financial products and services.

Experience

Strategic Partnerships

  • Represent emerging companies, retailers and other merchants in the negotiation of private label and co-brand credit card agreements, and advise on designing and implementing loyalty programs.*
  • Represent several financial institutions on sale of credit card portfolios in staged transactions, involving sale of portfolio and negotiations of credit card program agreements.*
  • Represent airlines and other T&E companies in the negotiation of their payments strategic partnerships, including domestic and international co-brand credit card, card acceptance agreements and fintech partnerships agreements.*
  • Represent a national bank in the negotiation of credit card processing agreement with merchant processor.*
  • Represent a retailer in the negotiation of payment processing agreement for its online marketplace.*

Fintech

  • Advise fintech and other emerging companies on financial products and services structuring, bank sponsorship arrangements, and payment processing services.*
  • Advise payment facilitator on the launch of a checking account alternative product for its commercial customers.*
  • Advise payment facilitator in the negotiation of a partnership with a bank for a commercial loan and commercial credit card offering.*
  • Represent several merchants in the negotiation of “buy-now-pay-later” financing offerings.*
  • Counsel a national bank on structuring and regulatory considerations of bank partnership model.*
  • Counsel a marketplace and online lenders regarding regulatory compliance with consumer financial services laws, including state licensing and federal consumer protection laws.*
