Jessica Gill is a counsel in Goodwin’s Business Law Department and a member of its Debt Finance group. She represents private equity groups, as well as public and private companies and certain lenders in connection with the negotiation and documentation of secured and unsecured domestic and cross-border debt financing transactions, including senior, mezzanine and subordinated debt facilities, acquisition-financing transactions and working capital facilities. Ms. Gill also has experience representing start-up and other early-stage companies in connection with venture debt transactions. She joined Goodwin in 2007.
Representative Matters
- $225 million first lien credit facility and $125 million second lien credit facility in connection with the leveraged acquisition of a provider of functionally integrated and scalable solutions for improved workflow, control and overall productivity for corporate treasury, central banking FX trading and back office operations
- $250 million senior secured term loan credit facility with an additional $30 million of accordion loans in connection with the leveraged acquisition of U.S. and select Asian operations of one of the largest suppliers of value-added seafood to the U.S. food service market
- $53 million dollar first lien credit facility and $17 million unsecured subordinated debt in connection with acquisition of a leading provider of enterprise software and services that automate mandated business rules for public sector organizations with authority to spend, grant or move funds
- $60 million senior secured credit facility in connection with acquisition of a healthcare cost containment company focused on medical device reprocessing
- $42.5 million senior secured credit facility in connection with the leveraged acquisition of a transportation and logistics solutions company that creates high-tech transportation routing and fleet management systems
- $78 million senior secured working capital facility to software-systems provider
- $10 million committed recurring revenue line of credit and $5 million mezzanine term loan to provider of leading cloud-based customer service software
- $7.5 million senior secured working capital facility to provider of software for business operations
- $3 million equipment line of credit and $1 million growth capital line of credit to provider of real-time search and analytics to businesses
- $85 million senior subordinated credit facility provided in connection with a recapitalization by a transcription service provider
- $26 million senior subordinated credit facility provided in connection with a recapitalization by a leading specialty mineral processor

At UC Davis, Ms. Gill received Witkin Awards in Constitutional Law I, Intellectual Property, International Human Rights and Legal History. She also served as an articles editor for the UC Davis Law Review. Prior to that, Ms. Gill was a staff editor on the UC Davis Business Law Journal and a member of the submissions committee of the UC Davis Journal of International Law and Policy.
