James Barri is a partner, Co-Chair of the Capital Markets practice and Co-Chair of the Debt Capital Markets practice. James works on a variety of corporate and securities matters, including public and private offerings of debt and equity securities, tender and exchange offers, securities law compliance for public and private companies and other general corporate matters.

James’ experience in corporate finance transactions includes representing underwriters, placement agents, initial purchasers, dealers and issuers in public and private high yield, convertible and investment grade debt and equity offerings, and equity derivatives in a broad array of industries, including technology, life sciences, REITs, media, manufacturing, energy and retail. James has recently represented:
- Wayfair Inc. in connection with multiple 144A or 4(a)(2) offerings of more than $3.5 billion aggregate principal amount of convertible senior notes and concurrent call spread transactions
- Okta, Inc. in connection with multiple 144A offerings of more than $2.4 billion aggregate principal amount of convertible senior notes, concurrent call spread transactions and multiple private exchange offers for existing convertible notes
- Global Blood Therapeutics in connection with a 144A offering of $345 million aggregate principal amount of convertible senior notes and a concurrent call spread transaction
- Atlassian Corporation Plc in connection with a 144A offering of $1 billion aggregate principal amount of cash exchangeable senior notes and a concurrent call spread transaction
