The American Lawyer has named Goodwin partners Matthew Mauney and Joshua Zachariah 2025 Dealmakers of the Year for their work leading Goodwin’s Private Equity and Public M&A teams in advising Novo Holdings on its $16.5 billion acquisition of Catalent, Inc. The prestigious annual awards program honors lawyers who have led the most complex, impactful deals of the last year.
The American Lawyer recognized Matthew and Joshua for their leadership in navigating the complexities of this high-stakes deal, which involved a challenging carve-out, significant intellectual property and litigation issues, and a global scope spanning multiple jurisdictions. They coordinated a cross-practice team of 125 Goodwin lawyers and local counsel worldwide, securing the successful completion of Novo’s largest U.S. investment to date. Novo Holdings is a holding and investment company that is responsible for managing the assets and the wealth of the Novo Nordisk Foundation.
Matthew, a partner in Goodwin’s Private Equity group, advises private equity firms on a wide array of complex business transactions. His work includes structuring and negotiating strategic and leveraged acquisitions and divestitures, mergers and acquisitions, cross-border transactions, equity and debt financings, recapitalizations and restructurings, executive compensation and incentive equity matters, and general corporate counseling and compliance.
Joshua is a partner in Goodwin’s Public M&A/Corporate Governance practice and serves as the Co-Chair of the firm’s Global M&A Group. His practice focuses on representing public and private acquirers and target companies in a variety of domestic and cross-border acquisition and disposition transactions, joint ventures, and other corporate matters. Joshua has deep public M&A experience, across the private equity, technology, and life sciences industries.
