Goodwin Procter attorneys recently advised ANSYS, Inc. on its acquisition of SpaceClaim Corporation. The acquisition was completed through a cash merger for an aggregate purchase price of $85 million, plus retention and an adjustment for working capital. Terms were not disclosed.
ANSYS, Inc. develops engineering simulation software that enables organizations to predict how their product designs will perform in real-world environments. Founded in 1970 and headquartered in Canonsburg, Penn., ANSYS employees 2,600 professionals in 60 strategic sales locations across the globe. The company is traded on Nasdaq under ticker “ANSS.”
SpaceClaim Corporation develops modeling software that simplifies CAD for engineers working in 3D design. Headquartered in Concord, Mass., SpaceClaim has offices in the UK, France, Germany and Japan, and is represented globally by authorized resellers.
