Sara Werner is a partner in Goodwin’s Technology practice and Private Investment Funds group. She advises venture capital and other private equity funds, as well as the emerging and established companies in which they invest. Ms. Werner represents investment funds in their formation, operation, and investment transactions. She regularly counsels fund managers on fund structures, "market" terms and negotiations with limited partners. She also works with fund clients on their investments in and dispositions of portfolio company securities. On the company side, Ms. Werner's practice focuses on advising senior management on debt and equity financings, governance matters, commercial agreements, mergers, acquisitions, joint ventures and other strategic and business transactions.

Prior to joining Goodwin, Ms. Werner was a partner in Dentons’ Corporate practice.

Ms. Werner is an advisor to Entrepreneurs Roundtable Accelerator and a member of the Entrepreneurship at Cornell Advisory Council.
