Jeremy is a partner in Goodwin’s Financial Services group and Investment Management practice. He focuses on advising registered investment companies, private funds, their investment advisors and independent board members on a variety of matters pertaining to the Investment Company Act of 1940, the Investment Advisers Act of 1940 and other securities laws. He has advised numerous clients regarding a wide variety of issues in building out their alternative fund project lines, including reorganizations and board matters.

Jeremy is a leading practitioner in the area of exchange-traded funds (ETFs), with extensive experience representing ETF sponsors and ETF fund complexes. Jeremy’s ETF clients include a wide range of asset managers, from startups to large, established firms. He has advised numerous ETF clients in launching novel products, including obtaining new regulatory relief for such products, and has obtained a large number of exemptive orders, no-action letters and other regulatory relief from the SEC on behalf of his ETF clients.

Jeremy also has extensive experience with forming and providing ongoing advice to registered closed-end funds, especially continuously offered interval and tender offer funds. He has advised on novel structures and obtained regulatory relief for such products.

Jeremy also has advised numerous clients in matters relating to cryptocurrency and blockchains, including proposed offerings of bitcoin ETFs and other issues relating to funds which invest in cryptocurrency and the use of blockchains by asset managers in securities offerings.

Prior to joining Goodwin, Jeremy was a Shareholder in Vedder Price’s New York office and a member of the firm’s Investment Services practice group.
