Sabrina Rabinowitz is a counsel in the firm’s Business Law department and a member of the Real Estate Industry group and Private Investment Funds practice.
Sabrina represents a wide range of real estate fund sponsors and other operators of commercial real estate on a variety of investment management matters, focusing on the formation of private investment funds, ongoing fund management, securities law compliance, securities offerings, and general corporate matters. She joined Goodwin in 2012.
Experience
Sabrina’s experience in the fund formation area focuses on establishing and providing ongoing advice to a variety of private investment vehicles, including vehicles focused on investing in the real estate, debt, and infrastructure sectors. Her experience includes establishing closed-end and open-end commingled funds, joint ventures, clubs and other investment programs and separate accounts, representing sponsors in the preparation and negotiation of vehicle formation and investment documents, restructuring the terms of existing investment vehicles and advising fund manager and sponsor entities with respect to organizational, operational and regulatory matters and employee compensation structures. This work includes US and international securities offerings, tax and regulatory-related structuring. Sabrina’s work with real estate funds has covered many asset classes including office, multifamily, retail and industrial, as well as data centers.
Sabrina’s experience in the ongoing management and operation of private investment funds and fund managers includes developing and implementing Advisers Act and other securities law compliance programs.
As a prior member of firm’s Real Estate Capital Markets group, Sabrina has advised a number of REITs on corporate governance and securities matters, and has represented these public companies in numerous common stock offerings and other capital markets transactions.
