Sebastian Miao is a senior associate in the Technology/Life Sciences group within the firm’s Business Law Department. Sebastian advises technology and life science company clients on a wide range of corporate matters throughout their corporate life cycle, including company formation, venture capital financings, mergers and acquisitions, De-SPAC and PIPE transactions, registered and non-registered securities offerings, private company general corporate representation and public company securities law reporting and compliance matters.
Professional Experience
Prior to joining Goodwin, Sebastian was an associate at Shearman & Sterling LLP in New York City, where he was a member of its Capital Markets Group and represented both banks and issuers in all types of capital markets transactions, including initial public offerings, follow-on equity offerings and “at-the-market” offerings, registered and 144A/Reg S offerings of investment grade and high yield debt, private placement, exchange offers and tender offers.
