Sean Gruver is a partner in the firm’s Business Law Department and a member of its Real Estate Industry group. Mr. Gruver joined Goodwin in 2005. Mr. Gruver’s practice includes both real estate fund formation and real estate transactions.
Experience
Mr. Gruver’s fund formation practice focuses on the representation of sponsors in the formation of private real estate debt and equity funds and includes establishing funds through U.S. and international offerings, organizing fund manager and sponsor entities, advising fund managers and sponsors in establishing compensation structures and internal operating policies, representing fund sponsors in the preparation and negotiation of fund formation and investment documents, and restructuring the terms of existing investment funds.
Mr. Gruver’s real estate transactional practice focuses on the representation of institutional investors, real estate investment managers, fund sponsors, REITs and other public and private real estate companies in a broad range of complex commercial real estate transactions, including purchases and sales, joint ventures, financings, restructurings, recapitalizations, and development projects.

Prior to joining Goodwin, Mr. Gruver was an associate in the New York office of Clifford Chance US LLP.
