Nate Cunningham is counsel in Goodwin’s Business Law department and is based in Washington, DC. He focuses on national security legal issues in the areas of foreign direct investment and international trade & finance, typically in the context of private equity transactions and mergers & acquisitions.
Nate’s practice encompasses matters implicating CFIUS, export controls, economic sanctions, customs/tariffs, and anti-corruption issues. He advises on complex transactional agreements, regulatory due diligence, product classifications, internal compliance matters, fund formation and design, venture capital financings, and structuring guidance with respect to beneficial ownership, operational control, and other foreign investment and regulatory issues; assists with the submission of notifications, voluntary disclosures, license applications, registration statements, classification requests, blocked property reports, and other information to the Treasury, Commerce, and State Departments; and partners with clients in negotiating, implementing, and complying with national security agreements.
Nate has represented US and international companies, private funds, and financial institutions covering a wide range of industries, including nuclear & other renewable energy, biotech, defense, heavy industry, chemical, oil & gas, semiconductors, financial services, consumer & luxury goods, logistics, infrastructure, telecom, media & entertainment, health care, cybersecurity, software, and textile & apparel.
Prior to joining Goodwin, Nate worked at the Washington, D.C. office of Weil, Gotshal & Manges LLP. He studied law at American University, Washington College of Law and undergraduate classics and philosophy at the University of Michigan.
