Ai Tajima is a partner in Goodwin’s Risk Management & Insurance practice and leads the transactional insurance advisory practice, focusing on the use of R&W, W&I, and other risk-transfer tools in connections with various transactions and claims. She is a leading practitioner of transactional insurance and advises on complex transactions for multinational clients across the US, Europe, and Asia-Pacific.

Experience

Ai is a frequent contributor on insurance topics and collaborates with brokers and underwriters. Her articles and speaking engagements include: cross-border transactional risk insurance (US vs. Europe), developments in W&I insurance in Asia, tailoring diligence plan to secure R&W insurance in manufacturing deals, R&W insurance market trends for secondary transactions, U.S. caselaw related to R&W insurance, and building an effective D&O insurance program.  

Her recent experience includes:

  • Advising US private equity sponsors and portfolio companies in acquisitions using R&W insurance
  • Advising a European private equity sponsor seeking R&W insurance in connection with a take-private transaction of a global business
  • Advising an Asian corporation with negotiation of W&I insurance in Europe in a cross-border transaction
  • Advising on R&W insurance matters for GP-led and LP-led secondary transactions
  • Advising on insurance issues between buyers and sellers in carveout transactions
  • Securing and structuring bespoke insurance solution for complex one-off issues
  • Advising on insurance claims under transactional risk, management liability and general liability policies

Ai was the recipient of the Suffolk University Law Faculty Outstanding Student Award-Evening Division at graduation. During law school, Ai received Jurisprudence Awards for Constitutional Law, Commercial Law Sales, Criminal Law, and Professional Responsibility.

She was also a member of the Moot Court Board and the Journal of Trial and Appellate Advocacy, and participated in the Jessup International Law Moot Court Competition.
